If ever in conflict, these Terms of Service will take precedence over the Google API Terms of Service. Please read these Terms of Service and the Google API Terms of Service carefully.
As used in these Terms of Service, "You" means the individual or entity using the Services (and/or any individual, agent, employee, representative, network, parent, subsidiary, affiliate, successor, related entities, assigns, or all other individuals or entities acting on your behalf, at your direction, under your control, or under the direction or control of the same individual or entity who controls you).
We will not disclose Your Confidential Information, except to affiliates, employees, agents or professional advisors who need to know it and who have agreed in writing (or in the case of professional advisors are otherwise bound) to keep it confidential. We will ensure that those people and entities use Your Confidential Information only to exercise rights and fulfill obligations under the Terms and that they keep it confidential. We may also disclose Your Confidential Information when required by law after giving reasonable notice to You, if permitted by law. As used in these Terms of Service, Your Confidential Information means Your information that You disclose to us under these Terms of Service, and that is marked as confidential. It does not include information that we already knew, that becomes public through no fault of ours, that was independently developed by us, or that was lawfully given to us by a third party without confidentiality obligations, or becomes public through no fault of ours.
Where applicable, the parties will comply with Google's Android Enterprise Data Processing and Security Terms available at the following URL (which may be changed from time to time): https://www.android.com/enterprise/data-protection/terms. For the purposes of Google's Android Enterprise Data Processing and Security Terms, "Customer" shall mean the EMM or Zero Trust solution providers.
Where applicable, if You wish to create an enterprise account on behalf of Your customer using the method enterprises.create of the Android Enterprise API and setting the field agreementAccepted to “true” pursuant to the requirements at https://developers.google.com/android/management/create-enterprise (which may be changed from time to time), You must also comply with the requirements below in addition to Your existing rights and obligations above:
